These Terms of Service (“Terms”) govern your access to and use of this website and the related services operated by Go Carpathian (“Go Carpathian”, “we”, “us”, or “our”). By accessing or using the site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the site.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the site. You represent that any information you provide is accurate.
2. The Service
Go Carpathian provides recruiting and talent placement services that connect businesses with remote professionals. We may add, change, suspend, or discontinue any part of the site or services at any time.
3. Communications
By providing your email address or phone number, you agree to receive communications from us related to our services, including transactional, account, and (where you opt in) marketing and appointment messages. Message and data rates may apply, message frequency varies, and you may opt out of text messages at any time by replying STOP and of emails by using the unsubscribe link. 4. Acceptable Use
You agree not to misuse the site, including by violating any law or third-party right, attempting unauthorized access, interfering with the site, uploading malicious code, scraping data without permission, or using it to send unlawful or deceptive communications.
5. Intellectual Property
The site and its content, software, trademarks, and materials are owned by Go Carpathian or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the site for its intended purpose.
6. Third-Party Links
The site may link to third-party websites and services we do not control. We are not responsible for their content, practices, or terms, and your use of them is at your own risk.
7. Disclaimers
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GO CARPATHIAN AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED DOLLARS ($100).
9. Indemnification
You agree to indemnify and hold harmless Go Carpathian and its owners, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the site or your violation of these Terms or applicable law.
10. Dispute Resolution; Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
Informal resolution first. Before starting an arbitration, you agree to first contact us at hello@gocarpathian.com and give us 30 days to resolve the dispute informally.
Binding arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in or near Salt Lake City, Utah, or, at your election, by telephone, video, or written submissions. The arbitrator’s decision is final and may be entered as a judgment in any court of competent jurisdiction. This agreement to arbitrate is governed by the Federal Arbitration Act.
Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information. Nothing here prevents either party from reporting concerns to a government agency.
11. Class Action Waiver and Jury Trial Waiver
YOU AND GO CARPATHIAN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING. TO THE EXTENT ANY CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND GO CARPATHIAN EACH WAIVE ANY RIGHT TO A JURY TRIAL. If the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in court.
12. Your Right to Opt Out of Arbitration
You may opt out of the arbitration agreement and class action waiver above by emailing hello@gocarpathian.com within 30 days of first accepting these Terms and stating your name and that you opt out of arbitration. Opting out will not affect any other part of these Terms.
13. Governing Law and Venue
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws rules. Subject to the arbitration provisions above, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Utah, and you consent to their jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. Changes are effective when posted, and the “Last updated” date will reflect the most recent version. Continued use of the site after changes are posted constitutes acceptance.
